Affiliate and Partner Program

Terms and Conditions

These Terms and Conditions (“Agreement”) govern participation in the Kardinal Guitars Affiliate and Partner Program (“Program”) operated by Kardinal Guitars LLC (“Kardinal,” “we,” “us,” or “our”). By enrolling or participating in the Program, you (“Affiliate,” “Partner,” or “you”) acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.


1. Program Overview

The Kardinal Guitars Affiliate and Partner Program is designed to allow individuals and entities to promote Kardinal Guitars products through unique tracking links and to earn commissions based on qualifying sales. Affiliates achieving specific sales thresholds may become Partners, qualifying for additional benefits, including the opportunity to collaborate on a Signature Model guitar.


2. Eligibility

To participate, you must:

  • Be at least 18 years of age.
  • Possess a valid tax identification number and payment method.
  • Maintain an active and verifiable online presence (e.g., website, social media, or content channel) suitable for product promotion.
  • Comply with all applicable laws, regulations, and Kardinal’s brand guidelines.

Kardinal reserves the right to reject or remove any applicant or participant at its sole discretion for any reason, including but not limited to misuse of brand assets, inappropriate content, or violation of this Agreement.


3. Affiliate Level (Tier 1)

Upon acceptance into the Program, each Affiliate will receive:

  • A unique tracking URL to promote Kardinal Guitars products.
  • A 14-day tracking cookie duration for referred sales.

3.1 Commission Structure

  • Affiliates will earn a commission equal to 5% of the final sale price (excluding taxes, shipping, or discounts) for all qualifying sales generated via their tracking link.
  • Example: A $499 sale earns a $24.95 commission.

3.2 Payment Terms

  • Commissions are calculated monthly and paid within thirty (30) days following the close of each calendar month, provided the Affiliate’s account balance meets the minimum payout threshold of $50 USD.
  • Payments will be made via electronic transfer, PayPal, or another method designated by Kardinal.
  • Any returned, canceled, or refunded sales will result in reversal or adjustment of corresponding commissions.

4. Partner Level (Tier 2)

Upon achieving 500 verified unit sales, Affiliates may be designated as Partners, subject to Kardinal’s review and confirmation.

4.1 Signature Model Development

Partners may collaborate with the Kardinal Guitars team to develop a Signature Model, based on the KG1 platform or other models as determined by Kardinal.
Partners may propose aesthetic and technical specifications, including but not limited to:

  • Color and finish
  • Pickups and pickup winding
  • Wood selection
  • Hardware and accessories
  • Other design attributes as mutually agreed

All proposed specifications are subject to Kardinal’s review and final approval to ensure compliance with production standards, quality control, and marketability. Kardinal retains sole discretion over:

  • The final design and configuration of the Signature Model.
  • The production quantity and size of each manufacturing run.
  • The timeline for development, release, and discontinuation of the Signature Model.

4.2 Partner Commission

  • Partners will receive 5% of the sale price on all units of their Signature Model sold, regardless of which affiliate link generated the sale.
  • If a sale of a Partner’s Signature Model is made using that Partner’s affiliate tracking link, the commission is stackable, resulting in a total of 10% of the sale price for that transaction.
  • Partner commissions follow the same payment terms and thresholds as defined in Section 3.2.

4.3 Program Modification

Kardinal reserves the right to modify the criteria for achieving Partner status, including the required number of verified unit sales, at any time. Any such changes will be posted to the Kardinal Guitars website and will take effect upon posting.


5. Marketing and Representation

Affiliates and Partners must represent Kardinal Guitars and its products accurately and in good faith. The following practices are prohibited:

  • Misrepresentation of Kardinal Guitars products, pricing, or availability.
  • Use of unauthorized advertising, spam, or misleading promotional materials.
  • Bidding on Kardinal Guitars trademarks, or variations thereof, in search engine advertising.
  • Use of the Kardinal logo, trademarks, or copyrighted material without written approval.

Kardinal may revoke access to marketing assets or terminate participation at its discretion for violations of this policy.


6. Intellectual Property

All intellectual property related to Kardinal Guitars, including but not limited to trademarks, product designs, graphics, and promotional materials, remains the sole property of Kardinal Guitars LLC.
Partners’ Signature Models will remain the intellectual property of Kardinal Guitars, and Partners acknowledge that they hold no ownership or licensing rights to any design, patent, or production asset associated with their Signature Model.


7. Confidentiality

Affiliates and Partners agree to maintain strict confidentiality regarding any non-public information disclosed by Kardinal, including but not limited to business plans, product designs, and financial information.


8. Limitation of Liability

Kardinal Guitars LLC shall not be liable for any indirect, incidental, or consequential damages arising from participation in this Program, including but not limited to lost profits or loss of data. Kardinal’s total liability under this Agreement shall not exceed the total commissions paid to the Affiliate or Partner during the six (6) months preceding the claim.


9. Term and Termination

This Agreement shall remain in effect until terminated by either party.

  • Affiliate Termination: You may terminate participation at any time by written notice.
  • Kardinal Termination: Kardinal may terminate this Agreement at any time, with or without cause, by providing written notice.
    Upon termination, no additional commissions will accrue for sales made after the termination date.

10. Program Changes

Kardinal reserves the right to modify, suspend, or terminate the Program, including commission rates, eligibility requirements, or payout structures, at any time. Updates will be published on the Kardinal Guitars website and will take effect upon posting.


11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the courts located within [Insert County, State].


12. Entire Agreement

This Agreement constitutes the entire understanding between Kardinal Guitars and the Affiliate or Partner and supersedes all prior communications or agreements, whether written or oral, relating to the Program.


Acknowledgment

By enrolling in or participating in the Kardinal Guitars Affiliate and Partner Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
